YOU ARE HEREBY NOTIFIED that on the 11th day of July, 2013, at 8:45 A.M., at the Rabun County Courthouse in the City of Clayton, Georgia, the presiding Judge of the Superior Court of Rabun County will hear the case of the STATE OF GEORGIA, Plaintiff, v. DEVELOPMENT AUTHORITY OF RABUN COUNTY and RABUN GAP-NACOOCHEE SCHOOL, INC. , Defendants, Civil Action File No. 2013-CV-0210C, in the Superior Court of Rabun County, the same being a proceeding to confirm and validate an issue of Development Authority of Rabun County Revenue Bonds (Rabun Gap-Nacoochee School, Inc. Project), Series?2013 (the "Bonds"), in the aggregate principal amount currently estimated at $15,835,000 but, in any event, not to exceed $15,900,000. The Bonds are to be issued by the Development Authority of Rabun County (the "Issuer") for the purpose of (A) refunding the Development Authority of Rabun County Revenue Bonds (Rabun Gap-Nacoochee School, Inc. Project), Series 2009, currently outstanding in the principal amount of $15,700,000 (the "2009 Bonds") which were issued in the aggregate principal amount of $18,500,000 to, among other things (i) refinance the costs of the acquisition, construction and equipping of an arts and technology center and the renovation, equipping and improvement of a science center, administrative offices, a media center and classrooms (collectively, the "1999 Project"), for the benefit of Rabun Gap-Nacoochee School, Inc. (the "School"), originally financed by $17,000,000 in aggregate principal amount of Development Authority of Rabun County Revenue Bonds (Rabun Gap-Nacoochee School, Inc. Project), Series 1999 and (ii) finance the cost of a capital project consisting of the acquisition, installation, equipping of (a) dormitory improvements, (b) security system improvements, (c) natural gas project, (d) classroom buildings, (e) roofs, (f) HVACs, (g) hot water heaters, (h) tennis court and track resurfacing, (i) pool drain replacement, (j) mower replacement, (k) purchase of vehicles, (l) technology improvements, (m) housing refurbishments and (n) geothermal/boiler improvements (collectively, the "2009 Project" and, together with the 1999 Project, the "Project"), and (B) paying the costs of issuance of the Bonds, and in order to develop and promote the public good and general welfare of the County of Rabun and its inhabitants and to promote the general welfare of the State of Georgia. In order to refund the 2009 Bonds, the Issuer will loan the proceeds of the Bonds to the School pursuant to a Loan Agreement, to be dated as of July?1, 2013. In said proceeding, the Court will also pass upon the validity of said Loan Agreement and an Indenture of Trust in connection therewith. The Bonds will not constitute a debt or a general obligation within the meaning of any constitutional or statutory debt limitation or restriction or a pledge of the faith and credit of the State of Georgia or any political subdivision thereof, including Rabun County, Georgia, but will constitute limited obligations of the Issuer and will be payable solely from amounts owing from the School pursuant to the Loan Agreement and specific revenues and property assigned and pledged to the payment thereof. Neither the State of Georgia, nor any political subdivision thereof, including Rabun County, Georgia, shall be subject to any pecuniary liability thereon, nor shall the Bonds constitute a charge, lien or encumbrance upon any property of the Issuer, said State, said political subdivisions or said County other than amounts owing from the School pursuant to the Loan Agreement assigned and pledged to the payment thereof. No owner of the Bonds shall ever have the right to compel the exercise of the taxing power of said State, said political subdivision or said County to pay the same or the interest thereon. The Issuer will not conduct any "performance audit" or "performance review" with respect to the Bonds as such terms are described in Section?36-82-100, Official Code of Georgia Annotated. Any citizen of the State of Georgia residing in Rabun County, Georgia, or any other person wherever residing who has a right to object, may intervene and become a party to this proceeding.
